Poonam Pixels — Terms & Conditions

These Terms & Conditions (“Terms”) apply to all services provided by Poonam Pixels (“Company”, “we”, “us”) to its clients (“Client”, “you”).
1. Services
Poonam Pixels provides digital services including, but not limited to:
- Graphic Design
- Social Media Post & Creative Design
- Reels & Video Editing
- Social Media Management
- Digital Marketing
- Search Engine Optimization (SEO)
- Paid Advertising / Ads Management
- Lead Generation
- Website & Landing Page Design
- Canva/Figma Design Services
- Branding and other digital services agreed with the Client
The exact scope of work, deliverables, timeline and pricing will be confirmed before starting the project.
2. Project Scope
Only the services and deliverables specifically agreed upon in the quotation, proposal or written communication will be included.
Any additional work or changes outside the agreed scope may be charged separately.
3. Payment Terms
- The Client must make the agreed advance payment before work begins.
- For projects requiring significant time or resources, Poonam Pixels may divide the payment into milestones.
- Work may be paused if the Client’s payment is delayed.
- Final files or completed deliverables may be withheld until all outstanding payments are cleared.
- Once work has started, the advance payment is generally non-refundable, except where otherwise agreed in writing.
4. Revisions
The number of revisions included will depend on the package or quotation agreed with the Client.
A revision means reasonable changes to the existing concept/design.
A completely new concept, redesign or change in the original brief may be treated as additional work and may incur additional charges.
5. Client Content & Information
The Client is responsible for providing accurate and legally usable:
- Logos
- Images
- Videos
- Text/content
- Brand guidelines
- Product/service information
- Contact details
- Other required materials
Delays in providing required content may result in a corresponding delay in delivery.
6. Third-Party Materials
If the project requires paid stock images, fonts, music, plugins, software, hosting, domain names, advertising budgets or other third-party services, the related cost will be borne by the Client unless otherwise agreed.
Poonam Pixels is not responsible for changes, suspension, pricing or availability of third-party platforms.
7. Delivery Timeline
Estimated delivery timelines will be communicated before or during the project.
Timelines may change due to:
- Delayed client feedback
- Delayed content/materials
- Additional revisions
- Scope changes
- Technical issues
- Third-party platform issues
- Circumstances beyond reasonable control
8. Client Approval
Once the Client approves a design, video, website page, advertisement or other deliverable, further major changes may be charged separately.
The Client is responsible for checking names, dates, numbers, prices, contact details and other factual information before final approval.
9. Digital Marketing & Advertising
Poonam Pixels will make reasonable professional efforts to execute digital marketing campaigns according to the agreed strategy.
However, Poonam Pixels does not guarantee a specific number of:
- Leads
- Sales
- Followers
- Views
- Clicks
- Revenue
- Search rankings
- Advertising results
Results can depend on factors outside our control, including market conditions, competition, platform algorithms, advertising budget, product/service quality and the Client’s sales process.
Advertising spend paid to platforms such as Google, Meta or other third parties is separate from Poonam Pixels’ service fee unless specifically stated otherwise.
10. SEO
SEO results are not guaranteed within a specific period.
Search engine rankings can change due to algorithm updates, competition, website changes and other factors outside our control.
11. Cancellation
If the Client cancels a project after work has started, payment for work already completed or committed may remain payable.
Any refund, if applicable, will depend on the project stage and the terms agreed before commencement.
12. Intellectual Property
Unless otherwise agreed in writing, ownership of the final approved deliverables will transfer to the Client after full payment has been received.
Poonam Pixels may retain ownership of unused concepts, drafts, working files, templates, internal processes and source files unless specifically included in the project agreement.
Third-party assets remain subject to their respective licenses and terms.
13. Portfolio & Promotional Use
Unless the Client requests otherwise in writing, Poonam Pixels may display completed work in its portfolio, website, social media pages and promotional materials.
Confidential or unreleased projects will not be publicly displayed without appropriate permission.
14. Confidentiality
Both parties agree to keep confidential information received during the project private and not disclose it to unauthorized third parties, except where disclosure is required by law or necessary to provide the agreed service.
15. Client Responsibility
The Client is responsible for ensuring that all content, claims, images, trademarks, logos and materials supplied to Poonam Pixels are legally authorized for use.
The Client remains responsible for the accuracy and legality of information published on its behalf.
16. Website & Technical Services
For website-related projects, domain, hosting, premium plugins, paid themes, third-party integrations and other external costs are normally separate unless specifically included in the quotation.
Website maintenance and future changes are not included unless specifically agreed.
17. Communication
Project communication may take place through WhatsApp, email or other mutually agreed channels.
The Client should provide feedback within a reasonable period to keep the project on schedule.
18. Suspension of Work
Poonam Pixels reserves the right to temporarily suspend work if:
- Payments are overdue
- Required information/content has not been provided
- The Client repeatedly changes the agreed scope
- The project becomes inactive for an extended period
- The requested work violates applicable law or platform policies
19. Limitation of Liability
Poonam Pixels will provide services with reasonable professional care but will not be liable for indirect, incidental or consequential losses arising from the use of the services.
Poonam Pixels is not responsible for failures, outages, account restrictions, algorithm changes or policy decisions made by third-party platforms.
20. Force Majeure
Poonam Pixels will not be responsible for delays caused by circumstances beyond reasonable control, including technical failures, internet or platform outages, natural disasters, government restrictions or other unforeseen events.
21. Changes to Terms
Poonam Pixels may update these Terms & Conditions from time to time.
The Terms applicable to a project will generally be those accepted by the Client at the time the project is confirmed, unless otherwise agreed.
22. Governing Law
These Terms & Conditions shall be governed by the laws applicable in India.
Any dispute shall first be attempted to be resolved through mutual discussion between the Client and Poonam Pixels.
Jurisdiction: Indore, Madhya Pradesh, India.
23. Acceptance
By confirming a project, making payment, or instructing Poonam Pixels to begin work, the Client acknowledges that they have read, understood and accepted these Terms & Conditions.
